4. HIPAA and Protected Health Information
Blue Care RCM understands the importance of protecting patient information and maintaining confidentiality.
Where applicable, we may act as a Business Associate under HIPAA when handling Protected Health Information (PHI) on behalf of healthcare clients. Any PHI-related responsibilities, permissions, restrictions, and safeguards will be governed by the applicable Business Associate Agreement and relevant laws.
Clients remain responsible for their own HIPAA compliance obligations, including patient notices, patient rights requests, internal policies, staff training, documentation, and legal compliance.
5. Client Responsibilities
Clients are responsible for providing accurate, complete, and timely information required for us to perform the agreed services.
Clients agree to:
- Provide access to necessary billing systems, EHR/EMR platforms, payer portals, records, and documentation
- Ensure all information shared with Blue Care RCM is accurate and complete
- Maintain compliance with applicable healthcare, billing, payer, privacy, and regulatory requirements
- Authorize Blue Care RCM to perform agreed tasks on their behalf
- Pay all agreed fees according to the applicable agreement
- Notify Blue Care RCM promptly of any changes in provider details, payer information, practice operations, compliance requirements, or service needs
Blue Care RCM is not responsible for errors, delays, denials, penalties, or losses caused by inaccurate, incomplete, delayed, or unauthorized information provided by the client.
6. Fees and Payment
Fees for services will be defined in the applicable proposal, invoice, service agreement, or written contract.
Fees may be based on a flat monthly rate, percentage of collections, hourly rate, project-based fee, or another agreed pricing model.
Unless otherwise stated in writing:
- Payments are due according to the invoice or agreement terms
- Late payments may result in service suspension
- Unpaid balances may be subject to late fees where permitted by law
- Services may be paused or terminated if payment obligations are not met
Blue Care RCM does not guarantee specific reimbursement amounts, claim approval rates, collection percentages, or payment timelines.
7. No Guarantee of Results
Blue Care RCM works to provide professional, accurate, and reliable services. However, healthcare billing, revenue cycle outcomes, payer responses, claim approvals, and marketing results depend on many factors outside our control.
We do not guarantee:
- Specific claim approvals
- Specific reimbursement amounts
- Specific payer processing times
- Complete elimination of denials
- Specific revenue increases
- Specific patient lead volume
- Specific ranking, traffic, or advertising results from digital marketing services
Results may vary based on provider documentation, payer rules, medical necessity, patient eligibility, coding requirements, compliance standards, market competition, and third-party platform performance.
8. Confidentiality
We respect the confidentiality of all client information, business records, patient data, financial information, login credentials, and operational details shared with us.
We will use confidential information only for the purpose of providing agreed services, unless disclosure is required by law, regulation, court order, or written authorization.
Clients must also protect any confidential information, reports, processes, strategies, or materials provided by Blue Care RCM.
9. Third-Party Platforms and Tools
Our services may require the use of third-party systems, including but not limited to:
- EHR/EMR systems
- Practice management software
- Clearinghouses
- Payer portals
- Credentialing platforms
- Communication tools
- Analytics platforms
- Advertising platforms
- Website or hosting tools
Blue Care RCM is not responsible for the performance, availability, security, errors, delays, outages, or policies of third-party platforms. Clients are responsible for maintaining valid access, permissions, subscriptions, and compliance for any third-party systems used in connection with the services.

Our total liability for any claim shall not exceed the amount paid by the client to Blue Care RCM for the specific service giving rise to the claim during the twelve months before the claim.
13. Indemnification
You agree to indemnify and hold harmless Blue Care RCM, its owners, team members, contractors, representatives, and affiliates from any claims, damages, losses, liabilities, costs, or expenses arising from:
- Your misuse of our website or services
- False, incomplete, or inaccurate information provided by you
- Your violation of applicable laws, rules, or payer requirements
- Your breach of these Terms or any service agreement
- HIPAA or compliance violations caused by your actions or omissions
- Unauthorized access or misuse of systems provided by you
14. Termination
We may suspend or terminate access to our website or services if you violate these Terms, fail to make payments, misuse our services, or breach any applicable agreement.
Service engagements may also be terminated according to the terms stated in the relevant written agreement.
Any outstanding payment obligations will remain due after termination.
15. Force Majeure
Blue Care RCM shall not be responsible for delays or failure to perform caused by events beyond our reasonable control, including but not limited to:
- Natural disasters
- Power outages
- Internet failures
- Cyberattacks
- Government actions
- Labor disputes
- Pandemics
- Third-party platform outages
- Payer system delays
- Clearinghouse interruptions
16. Governing Law
These Terms shall be governed by and interpreted according to the laws of [State/Country], without regard to conflict of law principles.
